(a) The name of this organization shall be the Indian Hill High School Alumni Association.
(b) The purpose of this organization shall be to promote communication amongst the members of the organization and such other purposes deemed appropriate by the membership of the governing body.
(a) Membership in the organization shall be extended to all graduates of Indian Hill High School or such other persons who attended a significant portion of their high school years at Indian Hill High School. Membership status shall be confirmed by the individual filling out a membership form.
(b) Additional membership in the organization shall be extended to such interested persons who have a significant association with Indian Hill High School, such as teaching or administrative personnel. Membership status shall be confirmed by the individual filling out a membership form.
(a) Annual Meeting. It is anticipated that one formal meeting of the members of this association shall be held. The specific timing of this meeting shall be established by the association body and communicated to the membership with sufficient advance notice.
(b) Special Meetings. Special meetings of the members may be called, as needed, by the governing body.
(c) At all meetings, those members present shall constitute a quorum.
(a) The governing body shall consist of elected Trustees from the membership. The initial Board of Trustees shall consist of at least three Trustees elected to a one-year term, at least three Trustees elected to a two-year term, at least three Trustees elected to a three-year term. Each year thereafter, at least three Trustees shall be elected to fill the expired terms.
(b) The Trustees shall be elected at the annual meeting of the membership.
(c) In the event of any vacancy on the Board of Trustees, the Board of Trustees shall elect a successor Trustee to fill the unexpired term of the former Trustee.
(d) The number of Trustees may increase for each new "class", at the discretion of the Board of Trustees, as the association grows in its membership.
(e) The Board of Trustees shall meet not less than twice during each calendar year.
(a) The officers of the Board of Trustees shall consist of a President, at least one Vice President, a Secretary, and a Treasurer, at a minimum.
(b) Officers shall serve a one-year term and are not limited to the number of terms they may serve.
(c) Duties of the officers shall be normal duties associated with their positions or such duties as may be assigned to them by the Board of Trustees.
(a) It is anticipated that standing committees of the organization shall be established by the Board of Trustees. These committees may consist of membership, social, publications, and nominating and such other committees as determined appropriate.
(b) The chairperson for each committee shall be appointed by the President and serve at the pleasure of the Board of Trustees.
(a) If deemed appropriate by the Board of Trustees, annual dues may be established.
(b) These by-laws may be amended by the membership in conjunction with the annual meeting.
(c) All formal meetings of the organization shall be conducted in accordance with Robert's Rules of Order.
(d) These by-laws shall be considered approved for the organization, once voted upon, with a majority vote, by the initial ad hoc organizing committee.
